Terms of service

The short version: these terms cover the optional paid pendpost cloud service. The free, open-source pendpost software is yours under the MIT License, not these terms. You pay a simple monthly or annual plan, you can cancel any time, and you can eject back to self-host whenever you want.

What these terms cover

These terms are an agreement between you and Nomadik GmbH (Switzerland), the publisher of pendpost, for the paid pendpost cloud service: the optional, managed 24/7 runtime that keeps Instagram, LinkedIn and X publishing when your own machine is off. The free pendpost software is open source under the MIT License; running it yourself is governed by that license and not by these terms. By creating a cloud account or buying a paid plan, you accept these terms.

The service

The cloud service runs pendpost on our infrastructure on your behalf. It enforces the same human approval gate the free core enforces, re-checked server-side on every job, so nothing publishes without an independent, non-self approval. It stores your platform tokens in an encrypted, per-workspace, revocable vault, keeps an auditable record of what fired, and lets you eject back to self-host at any time. The cloud sells uptime and server-side safety, never extra capability the free core lacks.

Your account and acceptable use

You are responsible for your account, the people you invite to it, and everything you publish through it. The approval gate is a safety control, not a transfer of responsibility: you remain responsible for the content you approve. You agree to follow the terms of each social platform you connect (Instagram, Facebook, LinkedIn, YouTube, X), and not to use the service for anything unlawful, abusive, deceptive, or that infringes someone else's rights. We may suspend an account that puts the service or other customers at risk.

Fees and billing

The cloud service is sold as a plan. Each plan includes a pooled monthly allowance of posts, shared across all the brands in your account. A post is one content item: when it publishes to several of the platforms you have connected, it still counts as a single post, not one per platform. When you go past your monthly allowance, each extra post is charged at the per-post overage rate shown at checkout and in your account before you are billed; those figures, not any illustrative numbers elsewhere on our site, are the ones that apply. You can set a spend cap so overage never exceeds an amount you choose, and we alert you as you approach it.

Billing is handled by Stripe. The plan fee is charged for the period ahead, and any overage for the period just ended. You can pay monthly, or annually for the price of ten months instead of twelve. New cloud accounts start on a free trial of 10 posts with no card; once those are used the trial stops until you choose a plan. Extra always-on brands beyond the number your plan includes are a small monthly add-on, shown before you turn one on. Seats are free. Prices are exclusive of taxes unless stated, and we may change prices with reasonable notice before a new billing period.

Cancellation and eject

You can cancel any time from the billing portal or from inside the app. When you cancel, your paid plan stops renewing and the service keeps running until the end of the period you have already paid for. You can also eject back to the free self-hosted core at any time: we hand back your plan files and a per-platform re-auth checklist, your tokens are re-minted locally and never exported in the clear, and we keep a short safety window after you leave before any managed copy of your data is permanently deleted. Custody is never a trap.

Refunds

Usage you have already run is non-refundable, because it reflects real publishing work the service did for you. If something on our side goes wrong, email us at hello@pendpost.com and we will make it right, in good faith, up to the amount you paid for the affected period. Nothing here limits any non-waivable rights you have as a consumer under applicable Swiss or EU law.

Availability

We work to keep the service running around the clock, but standard plans are provided on a best-effort basis without a contractual uptime guarantee. We may run maintenance and will aim to avoid your scheduled publishing windows where we can. Formal service levels are available only where they are written into a separate enterprise agreement.

Your data and privacy

You keep ownership of your content and your accounts. You grant us only the limited rights we need to run the service for you: to store your tokens securely, publish the posts you approve, and keep the audit record. We do not sell your data. How we handle data is described in our privacy policy.

Suspension and termination

We may pause or end the service for non-payment after a grace period, or immediately for serious misuse that threatens the platform or other customers. You can close your account at any time. When the relationship ends, the eject terms above still apply.

Disclaimer and liability

The service is provided "as is" and "as available". To the fullest extent the law allows, Nomadik GmbH is not liable for indirect or consequential losses, and our total liability for any claim is limited to the amount you paid for the service in the three months before the claim. Social platforms are independent third parties: we cannot guarantee that a given platform will accept a post, keep an account active, or keep its API working.

Changes to these terms

We may update these terms as the service evolves. If a change is material, we will give reasonable notice before it takes effect. Continuing to use the service after a change means you accept the updated terms.

Governing law and contact

These terms are governed by the laws of Switzerland, and the courts of Switzerland have jurisdiction, without affecting any mandatory consumer protections in your own country. The service is operated by Nomadik GmbH (Switzerland). Questions? Email hello@pendpost.com.
